SSI Group, Inc., a company listed on the Philippine Stock Exchange, announced changes to its Board of Directors. Think of a board of directors like a team of wise advisors who help guide a company and make important decisions about its future.
Saying Thank You to Carlo Katigbak
The company is thanking Carlo L. Katigbak for serving as what’s called an “Independent Director” from 2014 all the way to 2026. That’s 12 years! An independent director is someone from outside the company who gives honest advice and makes sure the company is doing things the right way.
According to SSI Group, Mr. Katigbak helped the company make many important decisions during a time when the business was growing and changing a lot. He made sure the company followed good rules and practices, which is called “corporate governance.”
Mr. Katigbak is finishing his time as a director because there’s a rule from the Securities and Exchange Commission (the government agency that watches over companies) that says independent directors can only serve for a certain number of years. But here’s the good news: he won’t be leaving completely! He’ll stay on as a “Special Advisor to the Board,” which means he’ll still help the company with his knowledge and experience, just in a different role.
“Carlo’s wisdom, integrity, and deep understanding of our business have been instrumental in helping guide SSI through an important chapter in its growth,” said Anthony T. Huang, who is the President and Chief Executive Officer (the top boss) of SSI Group.
Welcoming a New Board Member Nominee
SSI Group also announced they want to add a new person to their board: Roland Gerard “Junie” R. Veloso Jr. He’s been nominated, which means he’s been chosen as a candidate, and shareholders (the people who own pieces of the company) will vote on whether to officially make him a board member at their next big meeting called the Annual Stockholders’ Meeting.
Who is Junie Veloso?
Mr. Veloso just retired in 2025 after working in banking and finance for more than 30 years. That’s a really long time! Here are some of the important jobs he had:
- He was the President and CEO of BPI Capital Corporation, which is the part of Bank of the Philippine Islands that helps companies with investments and big financial deals
- He was Chairman of BPI Securities Corporation
- He worked at BPI for 12 years in different important positions, including helping with business strategy and banking for big companies
- Before BPI, he led HSBC Philippines’ business banking division, working with big companies and institutions
Mr. Veloso is also a Certified Public Accountant (CPA), which means he’s an expert in accounting and finance. He studied at De La Salle University and even went to Harvard Business School for advanced management training.
Mr. Huang explained why they chose Mr. Veloso: “Junie brings a wealth of experience in corporate finance, banking, capital markets, and strategic leadership. His deep expertise and proven track record will further strengthen our Board as SSI continues to execute its long-term growth strategy.”
